These Terms of Service (“Terms”) govern your access to and use of the Shadow Pulse website, platform, and services (“Services”) operated by Shadow Pulse (“we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or using our platform, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Shadow Pulse provides a narrative intelligence platform that monitors, detects, and analyzes information operations, coordinated inauthentic behavior, and emerging narrative threats across digital platforms. Our Services include real-time monitoring, threat detection, claims verification, analytics dashboards, and intelligence reports.

3. Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Reverse engineer, decompile, or disassemble any aspect of the platform
  • Use the Services to conduct or promote disinformation campaigns
  • Redistribute, resell, or sublicense the Services without prior written consent
  • Use automated means to scrape, collect, or extract data from the platform beyond authorized API usage
  • Interfere with or disrupt the integrity or performance of the Services

5. Intellectual Property

All content, features, functionality, trademarks, and intellectual property associated with the Services are owned by Shadow Pulse or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your subscription period.

6. Data & Intelligence Reports

Intelligence reports, analytics, and insights generated by our platform are provided for informational purposes. Shadow Pulse analyzes publicly available data and does not guarantee the completeness, accuracy, or timeliness of any intelligence output. You are responsible for how you use and act upon the information provided.

7. Subscription & Payment

  • Access to the platform is provided on a subscription basis as outlined in your service agreement.
  • Fees are billed in accordance with the pricing plan selected at the time of purchase.
  • All fees are non-refundable unless otherwise specified in your service agreement.
  • We reserve the right to modify pricing with 30 days’ written notice before your next billing cycle.

8. Termination

We may suspend or terminate your access to the Services at any time if:

  • You breach any provision of these Terms
  • Your subscription expires or is not renewed
  • We are required to do so by law
  • We discontinue the Services (with reasonable notice)

Upon termination, your right to access the platform ceases immediately. We will retain your data for 90 days after termination, after which it will be permanently deleted unless otherwise required by law.

9. Limitation of Liability

To the maximum extent permitted by law, Shadow Pulse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Services. Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the Services in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

11. Indemnification

You agree to indemnify, defend, and hold harmless Shadow Pulse, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of New Brunswick, Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of New Brunswick, Canada.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on our website at least 30 days before they take effect. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
